General Terms and Conditions

This is a translation for convenience. The German version is legally binding.

for services of TH Interim – Thorsten Heinisch, Interim Management & Management Consulting, Liebenauer Straße 35, 86343 Königsbrunn, Germany (“Provider”). Last updated: October 2026.

1. Scope

1.1 These terms apply to all contracts for services of the Provider concluded via this website or otherwise, in particular the supplier report, the supplier report with review and the toolkits (digital templates and tools).

1.2 The offer is directed exclusively at businesses within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers. By ordering, the customer confirms that they are acting in the course of their commercial or independent professional activity.

1.3 Deviating terms of the customer only apply if the Provider expressly agrees to them in writing, even if the customer refers to its own purchasing conditions in its order.

1.4 Separate contracts are concluded for interim assignments and the supply chain standby. These terms apply in addition unless the respective contract provides otherwise.

2. Conclusion of contract

2.1 The presentation of services on the website is not a binding offer. By submitting the order form, the customer makes a binding offer.

2.2 The contract is concluded when the Provider confirms the order by email (order confirmation), at the latest when performance begins. The Provider may decline orders without giving reasons.

2.3 The contract language is German.

3. Services and delivery time

3.1 Supplier report: analysis of up to 50 suppliers named by the customer, based on data provided by the customer. The report comprises a criticality heat map, an analysis of concentration risks by country and commodity group, and a 90-day action plan, delivered as a PDF.

3.2 Supplier report with review: supplier report according to 3.1 plus a 60-minute results review by video conference. The appointment is agreed jointly and should take place within 15 working days of delivery of the report.

3.3 Delivery time: the report is delivered within 10 working days of receipt of the customer's complete data. Working days are Monday to Friday, excluding public holidays in Bavaria. If delivery is delayed for reasons for which the Provider is not responsible, the period is extended appropriately.

3.4 The report is a professional assessment based on the customer's information and the Provider's experience. It is not legal, tax or financial advice. No particular economic success is owed. The decision on implementing the measures lies with the customer.

3.5 The Resilience Check on this website is a free, automated initial assessment. It does not give rise to any claims to services.

3.6 Toolkits: The toolkits are digital templates, calculators and guides (Word, Excel, PowerPoint). Their scope results from the description on the website at the time of ordering. Delivery takes place after receipt of payment via a personal download link or by email, usually within one working day. The toolkits are practical working aids; they do not replace individual advice or legal advice. Adapting them to the customer's circumstances is the customer's responsibility.

4. Cooperation of the customer

4.1 The customer provides the data required for the report completely and correctly, preferably in the template provided by the Provider. Data is transmitted via an encrypted upload link provided by the Provider; sending data as an unencrypted email attachment is not intended.

4.2 The customer is responsible for being entitled to pass the data on to the Provider. Personal data (such as names of contact persons) is not required for the report and should not be transmitted where possible.

4.3 Incomplete or incorrect data may limit the validity of the report. The Provider points out recognisable gaps.

5. Prices and payment

5.1 The prices stated on the website at the time of ordering apply. All prices are net plus statutory VAT.

5.2 The Provider issues an invoice after delivery of the report. For the supplier report with review, the invoice is issued after the review or, if the review does not take place within 30 days of delivery for reasons on the customer's side, after this period has expired.

5.2a For toolkits, the Provider issues the invoice with the order confirmation. Delivery takes place after receipt of payment.

5.3 Invoices are payable without deduction within 14 days of the invoice date. In the event of default, the statutory provisions apply (Sections 286, 288 BGB).

5.4 A purchase order number provided by the customer is shown on the invoice.

6. Rights of use

6.1 Upon full payment, the customer receives a simple, perpetual right to use, reproduce and share the report for internal purposes of its company and affiliated companies.

6.1a For toolkits, upon full payment the customer receives a simple, perpetual right to use, adapt and reproduce the files for internal purposes of its company and affiliated companies. Resale, publication or disclosure to third parties outside the group, including in edited form, is not permitted.

6.2 Publication or disclosure to third parties outside the group requires the Provider's consent. The Provider's methods, templates and know-how remain its property.

7. Confidentiality and data protection

7.1 The Provider treats all information and data received in the course of the order, in particular supplier lists, purchasing volumes and conditions, as strictly confidential. It uses them exclusively to prepare the report and does not pass them on to third parties, expressly including Omnichain Solutions GmbH and the Piquano network.

7.2 The raw data provided by the customer is deleted 90 days after delivery of the report unless the customer requests longer retention. Statutory retention obligations for invoices and business correspondence remain unaffected.

7.3 The confidentiality obligation continues for three years after the end of the contract. It does not apply to information that is publicly known or becomes known without breach of this obligation.

7.4 On request, the Provider concludes a separate non-disclosure agreement before data is transmitted. Where personal data is nevertheless processed, the parties conclude a data processing agreement pursuant to Art. 28 GDPR at the request of either party.

7.5 Information on the processing of personal data when ordering can be found in the privacy policy.

8. Liability

8.1 The Provider is liable without limitation for intent and gross negligence, for injury to life, body or health and under the Product Liability Act.

8.2 In the case of slight negligence, the Provider is only liable for breach of an essential contractual obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose compliance the customer may regularly rely. In this case, liability is limited to the typical, foreseeable damage, at most to the order value.

8.3 Otherwise, liability is excluded. In particular, the Provider is not liable for damage based on incorrect or incomplete information from the customer, nor for lost profit from decisions the customer makes on the basis of the report.

8.4 The above limitations also apply in favour of the Provider's vicarious agents.

9. Final provisions

9.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

9.2 If the customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is Augsburg, Germany.

9.3 Amendments and additions must be made in text form. This also applies to the waiver of this clause.

9.4 Should any provision of these terms be invalid, the validity of the remaining provisions remains unaffected.
